Terms of Use
These Terms of Use ("Terms") govern your access to and use of BIX, including our website, mobile applications, crypto-to-fiat features, and any related services (collectively, the "Services").
The Services are operated by Bit1 Ventures INC. ("Bit1," "BIX," "we," "us," or "our"), a company organized under the laws of Canada
By creating an account, accessing, or using the Services, you agree to these Terms.
1) Important notices
Crypto assets are volatile. Values can change rapidly.
Transactions can be irreversible. On-chain transfers may not be recoverable.
We are not your financial adviser. We do not provide investment, tax, or legal advice.
2) Eligibility
You may use the Services only if:
You are at least 18 years old.
You have legal capacity to enter into a binding agreement.
You are not prohibited from using the Services under applicable law.
You are not located in, organized in, or a resident of a jurisdiction subject to comprehensive sanctions that would prohibit our provision of Services.
We may require additional eligibility conditions for certain products, including card services.
3) Account registration and security
3.1 Account information
You must provide accurate, current, and complete information. You must keep your information up to date.
3.2 Identity verification and compliance
You authorize us (and our service providers) to:
Verify your identity.
Obtain information from third parties.
Conduct sanctions/PEP screening.
Monitor activity for AML/CTF, fraud, and risk purposes.
You agree to provide additional information when requested. Failure to do so may result in denial, suspension, or termination of Services.
3.3 Credential security
You are responsible for:
Maintaining the confidentiality of your credentials.
All activity in or through your account.
Promptly notifying us of unauthorized use.
4) The Services
4.1 Core functionality
The Services may allow you to:
Create a BIX account.
Buy, sell, and convert supported crypto assets.
Convert between crypto and fiat where available.
Initiate transfers and withdrawals where available.
Access card-related features, including loading and spending through BIX-branded Visa debit cards.
Availability can vary by jurisdiction, verification status, risk controls, liquidity, and third-party partner requirements.
4.2 Third-party services
Certain Services rely on third parties, including payment processors, banks, identity providers, card issuers, card processors, and the Visa network. Those parties may have their own terms, rules, and disclosures. You agree to comply with all applicable third-party rules where required to use a product.
4.3 No guarantee of availability
We may change, suspend, or discontinue any part of the Services at any time. We may also impose limits on usage, transaction size, frequency, or availability.
5) Fees, exchange rates, and taxes
5.1 Fees
You agree to pay all applicable fees. Fees may include network fees, processing fees, card-related fees, and other charges disclosed in the BIX interface before you confirm a transaction.
5.2 Exchange rates
Rates for conversions may include spreads, markups, or other pricing components. The rate you receive will be shown before confirmation.
5.3 Taxes
You are responsible for determining and paying any taxes that apply to your use of the Services. We may provide reports for convenience, but we do not guarantee completeness or tax treatment.
6) User conduct
You agree that you will not:
Use the Services for any unlawful purpose.
Engage in prohibited activities listed in our Prohibited Activities List.
Attempt to bypass compliance controls or security measures.
Use the Services to harm, interfere with, or disrupt the Services or other users.
We may monitor for violations and enforce these Terms.
7) Content, intellectual property, and feedback
7.1 Intellectual property
The Services, including software, text, graphics, logos, and trademarks, are owned by or licensed to Bit1 and are protected by intellectual property laws.
You receive a limited, revocable, non-exclusive, non-transferable license to use the Services for your personal and lawful purposes, subject to these Terms.
7.2 Feedback
If you provide suggestions or feedback, you grant us a perpetual, worldwide, royalty-free right to use it without restriction or compensation.
8) Disclaimers
To the maximum extent permitted by law:
The Services are provided "as is" and "as available".
We disclaim all warranties, whether express, implied, or statutory.
We do not warrant that the Services will be uninterrupted, error-free, or secure.
We do not guarantee execution times, availability of particular assets, or transaction finality.
9) Limitation of liability
To the maximum extent permitted by law:
Bit1 will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages.
Bit1 will not be liable for lost profits, lost data, loss of goodwill, or business interruption.
Bit1’s total aggregate liability for any claim arising out of or relating to the Services will not exceed the greater of (a) fees paid by you to Bit1 for the Services in the three (3) months before the event giving rise to the claim, or (b) USD $100.
Some jurisdictions do not allow certain limitations. In that case, the limitations apply to the fullest extent permitted.
10) Indemnification
You agree to indemnify and hold harmless Bit1 and its directors, officers, employees, contractors, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or relating to:
Your use of the Services.
Your violation of these Terms.
Your violation of any law or third-party rights.
11) Suspension and termination
We may suspend or terminate your access to the Services, with or without notice, if we reasonably believe that:
You violated these Terms.
Your account presents a fraud, compliance, or security risk.
We are required to do so by law or a partner.
You may stop using the Services at any time. Obligations that by their nature should survive will survive termination, including compliance-related retention, disclaimers, limitations of liability, dispute resolution, and indemnities.
12) Dispute resolution, governing law, and arbitration
12.1 Governing law
These Terms and any dispute or claim arising out of or relating to the Services will be governed by the laws of Canada, without regard to conflict of law rules.
12.2 Mandatory arbitration
Except as provided in Section 12.3, any dispute, claim, or controversy arising out of or relating to these Terms or the Services (including the formation, validity, breach, termination, or enforceability of these Terms) will be resolved by final and binding arbitration seated in Canada
Number of arbitrators: one (1).
Language: English, unless the parties agree otherwise.
Relief: the arbitrator may award any relief permitted by law, but may not award relief on a class-wide basis.
12.3 Exceptions
Either party may seek:
Interim or injunctive relief in any court of competent jurisdiction to protect intellectual property, confidentiality, or prevent unauthorized access.
Relief in small claims court, if available and the dispute qualifies.
12.4 Class action waiver
You and Bit1 agree that disputes will be brought in an individual capacity only. You waive the right to participate as a plaintiff or class member in any purported class, collective, private attorney general, or representative proceeding.
13) Notices
We may provide notices by posting them in the Services, sending them to your email, or through in-app notifications. Notices to us must be sent to legal@bixpay.io unless we provide another address.
14) Miscellaneous
Assignment: You may not assign these Terms without our consent. We may assign these Terms.
Severability: If any provision is held invalid, the remainder will remain in effect.
No waiver: Failure to enforce a provision is not a waiver.
Entire agreement: These Terms, together with referenced policies and disclosures, form the entire agreement regarding the Services.
